Terms of Service

1. Acceptance of Terms

By accessing or using AiGentcy ("the Service"), operated by Strange Victory Labs ("we," "us"), you agree to these Terms of Service. If you do not agree, do not use the Service. The Service is available at app.aigentcy.app.

2. Description of Service

AiGentcy is an AI-powered advertising agency platform. Our AI agents analyze your brand, generate marketing campaigns, create content, manage scheduling, and provide competitive intelligence. The Service uses artificial intelligence (Anthropic Claude) to generate content and recommendations.

3. Accounts

• You must be at least 18 years old to use AiGentcy.
• You are responsible for maintaining the security of your account credentials.
• You are responsible for all activity under your account.
• One person or entity per account. Account sharing is not permitted.
• You must provide accurate information when creating your account and keep it updated.

4. Subscriptions and Billing

Plans

AiGentcy offers Starter, Pro, and Agency subscription tiers, plus founding member rates for early adopters. Plan features and limits are described on our pricing page.

Billing

• Subscriptions are billed monthly via Stripe.
• Founding member pricing is locked for the lifetime of continuous subscription.
• Credits are included with your subscription and can also be purchased separately. Credits never expire.
• All prices are in USD.

Cancellation

• You may cancel your subscription at any time from Settings.
• Cancellation takes effect at the end of your current billing period. No prorated refunds.
• If you cancel a founding plan, the founding rate is forfeited and cannot be restored.

5. AI-Generated Content

Ownership

You own the content generated by our AI agents on your behalf. We do not claim ownership of your campaigns, copy, images, or other outputs.

Limitations

• AI-generated content is provided "as is." You are responsible for reviewing all content before publishing.
• We do not guarantee that AI-generated content is accurate, original, legally compliant, or suitable for your specific use case.
• You are solely responsible for ensuring content complies with applicable laws, platform policies, and advertising regulations.
• AI agents may produce content that requires editing. The Service is a tool, not a substitute for human judgment.

6. Acceptable Use

You agree not to:

• Use the Service for illegal purposes or to promote illegal activities
• Generate content that is defamatory, harassing, or threatening
• Attempt to reverse-engineer, decompile, or extract our AI agent system prompts
• Circumvent rate limits, credit limits, or tier restrictions
• Use the Service to spam, phish, or deceive
• Resell access to the Service without an Agency tier subscription
• Scrape, crawl, or use automated tools to access the Service beyond normal usage
• Impersonate another person or entity

7. Platform Connections

When you connect social media accounts (Instagram, Twitter/X, etc.) to AiGentcy, you authorize us to post content and access analytics on your behalf. You can revoke these connections at any time from Settings. We are not responsible for actions taken by connected platforms.

8. Rate Limits and Fair Use

Each subscription tier includes defined limits on campaigns, credits, brands, and agent interactions. We reserve the right to throttle or suspend accounts that significantly exceed fair use patterns, even within their stated tier limits.

9. Intellectual Property

The AiGentcy platform, including its design, agent system, brand, and underlying technology, is owned by Strange Victory Labs. You may not copy, modify, or distribute any part of the platform. Our AI agent names and personas (Don, Peggy, Pete, etc.) are used for entertainment purposes and are not affiliated with AMC Networks or the television series Mad Men.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL MEET YOUR REQUIREMENTS. WE ARE NOT RESPONSIBLE FOR THE PERFORMANCE OF CAMPAIGNS CREATED USING OUR TOOLS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STRANGE VICTORY LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Strange Victory Labs from claims, damages, and expenses (including legal fees) arising from your use of the Service, content you publish through the Service, or your violation of these terms.

13. Termination

We may suspend or terminate your account if you violate these terms, engage in abusive behavior, or fail to pay subscription fees. Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination, after which it will be deleted.

14. Changes to Terms

We may update these terms from time to time. Material changes will be communicated via email or in-app notice at least 14 days before taking effect. Continued use after changes constitutes acceptance.

15. Governing Law

These terms are governed by the laws of the State of California, United States. Disputes shall be resolved in the courts of Los Angeles County, California.
